Chattem, Inc. Announces Management Changes, Effective from January 2015

Chattem, Inc. appointed Robert Long as CEO. Guerry will continue to serve as chairman. He joined Chattem in 2006 and was its chief financial officer and an executive vice president. Long officially starts as CEO in January.

Lauren Foster Sues Chattem Inc. on a Product's Packaging

The U.S. District Court for the Middle District of Florida denied in part dismissal of a complaint centered on a product's packaging. The complaint sufficiently alleged the falsity of a manufacturer's representation that its mouthwash rebuilds tooth enamel. Chattem Inc. manufactures ACT mouthwash. The product's packaging stated that ACT "rebuilds tooth enamel." Lauren Foster sued Chattem, claiming that ACT was misbranded because it is not possible to rebuild tooth enamel. The complaint alleged ACT only strengthens weak spots in tooth enamel. The complaint asserted claims for violation of Florida's Deceptive and Unfair Trade Practices Act (FDUTPA) and breach of the implied warranty of merchantability under state law and the federal Magnuson-Moss Warranty Act. Chattem moved to dismiss. First, Chattem argued the complaint did not plausibly state a claim that the phrase "rebuilds tooth enamel" was false or state a claim for damages. The complaint adequately alleged damages. Foster contended the misbranding of ACT rendered the product valueless. Alternatively, Foster pleaded that ACT was worth less than what she paid due to a premium charge for the misbranded features. Second, Chattem argued that dismissal of the breach of implied warranty claims was proper because Chattem was not in privity with Foster. Under Florida law, privity is established when a manufacturer makes direct representations to the purchaser. The district court observed that Foster did not allege any personal contact occurred between herself and a Chattem representative. Foster merely alleged she saw Chattem's packaging in the store and then purchased ACT. The district court concluded Foster could proceed with her claim under the FDUTPA. Because the complaint's allegations did not demonstrate privity, the district court dismissed the breach of implied warranty claims.

Chattem Announces Executive Changes

Chattem announced that Robert Long, it's executive vice president, has been appointed as president. John Stroud, also an executive vice president, was appointed to the new post of chief commercial officer. Long, who joined the company in 2006 and was its chief financial officer, will have a more expanded role as the company's new president. Stroud, who came to the company at about the same time, will oversee the commercial side of the business. Both Long and Stroud will continue to report to Zan Guerry, the company's chief executive officer.
