UEM Sunrise Signs Collaboration Agreement With Edotco Malaysia Sdn Bhd

UEM Sunrise Berhad through its wholly-owned subsidiary, UEM Land Berhad has entered into a collaboration agreement with edotco Malaysia Sdn Bhd ("edotco"), an integrated telecommunications infrastructure services company providing end-to-end solutions of towers, energy, transmission and operations & maintenance ("O&M") for a multi-tenant mobile network infrastructure development in Nusajaya, Iskandar Malaysia, Johor. The collaboration agreement includes the joint identification by UEM Sunrise and edotco of potential sites in Nusajaya for communication towers and structures for mobile network operators ("MNO"), wireless service providers, radio and television broadcast companies and the construction of such communication towers and structures by edotco at its own costs. This partnership between UEM Sunrise and edotco will encourage the development of mobile or cellular communication services as well as a multi-telco environment and is expected to reduce MNO towers in Nusajaya by at least 40%. It will also provide a lower entry cost to MNO wishing to locate in Nusajaya in order to ensure mobile services are ready from day one to the residents and businesses there as well as boosts up the infra- readiness for 4G connectivity to cater for optimum coverage and progressive data traffic growth in Nusajaya. The signing marks edotco as a preferred partner in delivering multi-tenant infrastructure solutions for all MNO in Nusajaya. edotco's ability to provide aesthetic infrastructures that blend into the environment and are smaller in size compared to traditional towers will also play a major role in ensuring space and ultimately, revenue optimisation.
UEM Land and CHPL to Co-Operate in the Development of China Mall

UEM Sunrise Berhad announced the Memorandum of Understanding (MoU) between its wholly-owned subsidiary, UEM Land and CHPL (Parties) to co-operate in the development of China Mall, a trade and exhibition centre in Gerbang Nusajaya, Nusajaya (China Mall or the Project). The Company reported that both parties are still in negotiations to conclude and finalise the Definitive Agreement(s) and have agreed to extend the period of validity of the MoU for an additional duration of twelve months from the expiry date. The extended duration shall come into effect on 4 December 2014 and be effective until 3 December 2015 or such other date as the Parties may agree in writing.
Intelsec Sdn Bhd Enters into Joint Venture Agreement with UEM Land Sdn Bhd and Iskandar Innovations Sdn Bhd

Telekom Malaysia Berhad through its wholly owned subsidiary, Intelsec Sdn Bhd has entered into a joint venture and shareholders agreement with UEM Land Sdn Bhd and Iskandar Innovations Sdn Bhd, a owned subsidiary of Iskandar Investment Berhad for the establishment of a Joint Venture Company which will carry on the business of a managed services operating company to provide smart building services and smart city services. JV Co will be established pursuant to the Joint Venture and Shareholders Agreement and Intelsec, UEML and IISB shall hold 51%, 39% and 10% respectively of the equity interest of the JV Co. The total consideration of the proposed subscription of 31,110,000 of the authorised share capital of the JV Co of MYR 1.00 each by Intelsec is MYR 31,110,000.00. JV Co will carry on the business of a managed services operating company to provide smart building and smart city services, including to build, provision and manage the smart building services, including smart tenant services, for the building owners, operators, residents and visitors; to design, build and operate smart city services, which include private smart city safety and security services, energy and facility management; and to design, build and operate the smart city infrastructure for the provision and management of both smart building and smart city services. JV Co shall have an authorised share capital of MYR 61,000,000.00 divided into 61,000,000 ordinary shares of MYR 1.00 each. The initial issued and paid up share capital of the JV Co shall be MYR 15,000,000.00 divided into 15,000,000 ordinary shares of MYR 1.00 each. The company, UEML and IISB have further agreed to an additional future capital contribution of MYR 43,000,000.00 at such a later time as may be determined by JV Co’s Board of Directors for the purpose of funding the JV Co business as per the aforesaid proportion.
