Birmingham International Enters Into Exclusivity Agreement

A potential offeror, third party(ies) independent of and not connected with Birmingham International Holdings Limited or its receivers entered into an exclusivity agreement in relation to the subscription and/or purchase of shares in Birmingham International and/or Birmingham City Plc, a 96.64% owned subsidiary of Birmingham International. The definitive terms of the investment are subject to further negotiation between the receivers and the potential offeror. The investment, if preceded, may or may not result in the change in control of Birmingham International. In consideration for the grant of the exclusivity period, upon execution of the exclusivity agreement, potential offeror will make available to Birmingham International, a loan facility of HKD 153 million and the deposit of not more than HKD 10.3 million as security for the loan or bank facilities granted by HSBC in the United Kingdom.
