Lightbridge and AREVA NP Sign Binding Agreement for U.S. Joint Venture for Advanced Nuclear Fuel

Lightbridge Corporation and AREVA NP in North America (AREVA Inc.) signed a binding Heads of Terms Agreement for a joint venture (JV) that summarizes all material terms and conditions to develop, manufacture and commercialize Lightbridge’s advanced metallic fuel technology. Lightbridge’s proprietary technology is designed to significantly improve economics, efficiency and safety of existing and new nuclear power plants. The parties agreed that the cash and non-cash contributions to the JV will be balanced and that the JV will be owned on a 50-50 basis. The result will be equal economics for the respective JV owners. The JV will be the exclusive vehicle through which Lightbridge and AREVA NP will research, develop, demonstrate, fabricate, license, market and sell nuclear fuel assemblies that utilize Lightbridge’s proprietary metallic fuel designs and other advanced nuclear fuel intellectual property contributed by both Lightbridge and AREVA NP. The JV’s activities will encompass the following types of commercial light water and research reactors: Pressurized water reactors (excluding VVER reactor types, a specific type of pressurized water reactor); Boiling water reactors; Light water-cooled small- and medium-sized reactors; and Research reactors. As a next step, the parties expect to finalize a definitive JV Operating Agreement based on the Heads of Terms Agreement in the fourth quarter of 2017 and to launch the JV in the first quarter of 2018. In parallel, the parties intend to finalize several additional binding agreements, covering areas such as intellectual property and research and development. The parties expect to sign the agreements prior to or simultaneously with the final JV Operating Agreement.
AREVA NP Signs $560 Million in Advanced Fuel Contracts

AREVA NP recently signed three fuel contracts totaling $560 million. The company will supply its ATRIUMTM 11 advanced boiling water reactor (BWR) fuel, and GAIA and HTPTM pressurized water reactor (PWR) fuel designs to four different nuclear energy facilities beginning in 2020. These contracts provide utilities with a secure future fuel supply, which helps ensure the continued generation of reliable, efficient electricity to their customers. ATRIUMTM 11, AREVA NP's most advanced BWR fuel, provides cost benefits and greater operational flexibility through its enhanced uranium efficiency while meeting the demands of high energy fuel cycles. The design features an 11x11 fuel rod array, which is particularly valuable for plants that have implemented power uprates or optimized capacity factor operating strategies. ATRIUMTM 11 fuel is already operating in five reactors worldwide. AREVA NP's GAIA PWR fuel provides greater thermal performance and improved mechanical behavior, and features the cladding material M5. This next-generation fuel design is the result of a global research and development project to meet the demands of utilities for increased safety, reliability and robustness. Currently, GAIA is operating in two reactors worldwide. Another nuclear facility will employ a modified version of AREVA NP's HTPTM fuel assembly design to facilitate that plant's transition to longer fuel cycles through 2030. AREVA NP's HTPTM platform for PWR fuel provides universally proven reliability and robustness for every PWR lattice type in the United States. Globally, nearly 20,000 HTPTM fuel assemblies have been loaded into 50 reactors, with nearly half of these assemblies in the United States.
ROSATOM Eyeing AREVA Units

ROSATOM State Atomic Energy Corporation may acquire a stake in AREVA SA (ENXTPA:AREVA), an executive from ROSATOM indicated. 87% state-owned Areva will be split up, with its reactor building unit AREVA NP Inc. Being sold to Electricite de France SA (ENXTPA:EDF) (EDF) while its nuclear fuel and uranium unit will become a separate company provisionally named Areva NewCo. Areva, EDF and their government shareholder are looking to sell minority stakes to foreign investors in both Areva units. Areva said that third-party investors have made a €500 million offer for a combined 10% stake in NewCo and that talks are under way with China National Nuclear Corporation (CNNC) and Mitsubishi Heavy Industries, Ltd. (TSE:7011) about taking a stake in NewCo. Asked whether ROSATOM would consider buying a stake in Areva, Andrey Rozhdestvin, head of Rosatom Western Europe, said ROSATOM would be willing to consider a stake in AREVA NP as well as Areva NewCo. The official stated that talks are ongoing with Chinese and Japanese potential equity partners, but not with the Russians.
