Orange To Purchase Four African Subsidiaries From Bharti Airtel Limited

Orange (ENXTPA:ORA) is in exclusive negotiations to purchase four African subsidiaries from Bharti Airtel Limited (BSE:532454). Orange and Airtel have entered into an exclusive agreement to explore the possible acquisition by Orange of Airtel's subsidiaries in Burkina Faso, Chad, Congo Brazzaville and Sierra Leone, the French group said in a statement. There is no certainty of any binding agreement as a result of these discussions currently underway with Bharti Airtel International (Netherlands) B.V. Lazard is acting as financial advisor to Orange in the transaction.

Bharti Airtel International (Netherlands) B.V. has successfully priced a dual currency issuance of Guaranteed Senior Notes comprising of USD 1,000 million 5.350 % Notes due 2024 and EUR 750 million 3.375 % Notes due 2021. The Notes carry an Investment Grade rating from Moody's, Standard & Poor and Fitch. The Notes will be fully and unconditionally guaranteed by Bharti Airtel. Bharti will apply the net proceeds to refinance its existing debt. This refinancing exercise has significantly lengthened the average maturity profile of Bharti's debt. With this, the company has fully refinanced the original USD 9 billion acquisition facility and also taken care of all near term maturities. The success of the dual tranche Euro and USD bond offerings demonstrate the demand for quality Investment Grade Indian paper like Bharti Airtel. The Notes received considerable investor interest, witnessing a strong demand across high quality Institutional Investors, Banks and Insurance companies.

THURUYA Telecommunications Company and Bharti Airtel International BV announced an agreement to provide Airtel Africa customers with mobile satellite products and services across 17 countries in Africa. The partnership will provide Airtel Africa customers voice and broadband connectivity via Thuraya's satellite network across the continent's most remote areas. Commencing from May onwards, Airtel Africa will sell Thuraya's products and airtime packages at their retail outlets and through their Enterprise account team. Thuraya's satellite network helps bridge the digital divide by providing an immediate and cost effective way for Airtel Africa to extend its coverage, while generating new revenue streams and providing vital connectivity. Thuraya's mobile satellite service can address the diverse voice and data communication needs of Airtel Africa enterprise users across the mining, energy, media, government and humanitarian NGO sectors.
