OrotonGroup Limited to Form Joint Venture with Brooks Brothers

OrotonGroup Limited signed a joint venture agreement with Brooks Brothers Group, Inc. to develop the Brooks Brothers brand in Australia and New Zealand. Under the terms of the agreement, OrotonGroup and Brooks Brothers intend for the JV to operate for an initial term of ten years with a five year renewal option. OrotonGroup may choose, or be required by Brooks Brothers, to exit the joint venture for fair market value after five years in certain circumstances. There are also event of default exit rights, including upon a change of control. OrotonGroup will hold a 51% stake in the JV. As a part of the transaction, the first four-eight stores and department store concessions are expected to open at the beginning of 2014 with further stores and a local online store to follow soon after.
