Broadcom Corporation announced earnings results for the first quarter ended January 31, 2016. For the quarter, the company reported net income of $377 million or $1.30 per diluted share compared to $351 million or $1.26 per diluted share for same quarter ended February 1, 2015. Net revenue was $1.77 billion compared to $1.63 billion for the same quarter ended February 1, 2015. Operating income was $475 million, compared to $401 million for the same quarter ended February 1, 2015. The company provided earnings guidance for the second quarter ending May 1, 2016. For the second quarter, the company expects GAAP net revenue to be approximately $3.53 billion.

Broadcom Corp. Announces Amendments to Restated Articles of Incorporation and Bylaws; Announces Change its Fiscal Year End to October 31

On February 1, 2016, pursuant to the Agreement and Plan of Merger by and among Avago Technologies Limited, Broadcom Corporation, Broadcom Limited, Broadcom Cayman L.P., Avago Technologies Cayman Holdings Ltd., Avago Technologies Cayman Finance Limited, Buffalo CS Merger Sub Inc. and Buffalo UT Merger Sub Inc., a California corporation and wholly-owned subsidiary of Finance Holdco (Unit Merger Sub), (i) Holdco acquired Avago pursuant to a Scheme of Arrangement under Singapore law in accordance with Section 210 of the Companies Act (Chapter 50) of Singapore, thereafter, Cash/Stock Merger Sub merged with and into Broadcom, with Broadcom as the surviving corporation. In connection with the Transactions, on February 1, 2016, Broadcom amended and restated its articles of incorporation and its bylaws. Following the consummation of the Transactions, Broadcom changed its fiscal year to match Holdco's fiscal year, which ends on the Sunday closest to October 31.
