Banco BPI Plans To List Banking Assets In Angola and Mozambique Into A Separate Entity

Banco BPI, S.A. (ENXTLS:BPI) plans to spin off its banking assets in Angola and Mozambique into a separate entity and list the new shares, to be priced at €0.0317 apiece and without a nominal price, on Lisbon's Euronext bourse. The new entity will comprise Banco BPI's 50.1% stake in Banco de Fomento Angola, S.A., 30% in Banco Comercial e de Investimentos, S.A. in Mozambique and all of its BPI Mozambique. The board said it would call a shareholder meeting to approve the split, in which Banco BPI shareholders will get one share in the new entity for each share they hold in BPI.

Investor seeking acquisition of stake in Banco de Fomento Angola, S.A. from Banco BPI, S.A. (ENXTLS:BPI). Banco BPI said it had already been approached by a potential investor interested in a minority stake in Banco de Fomento Angola, a proposal it will now analyse, but it did not specify if it could sell any Banco de Fomento Angola stake separately or as part of the new entity. Banco BPI further said that it is open to receiving other proposals that would help comply with European rules limiting its exposure to the African nation. Banco BPI, S.A. (ENXTLS:BPI) has put its 50.1% stake in Banco de Fomento Angola, S.A. up for sale, with Goldman Sachs contacting potential acquisition candidates according to reports. The sale of the stake is one of the options being considered to meet ECB mandates regarding large exposures, the newspaper wrote, noting that BPI needs to make a decision before a new round of stress tests commences in March 2016.
