Delphi Automotive Seeks Acquisitions

Delphi Automotive PLC (NYSE:DLPH) is seeking acquisitions. Delphi is selling its thermal business to MAHLE GmbH for $727 million and the proceeds will be used to fund growth, including acquisitions, or share repurchases.

Delphi Automotive PLC Reports Unaudited Consolidated Earnings Results for the Fourth Quarter and Year Ended December 31, 2014; Provides Earnings Guidance for the First Quarter and Full Year of 2015

Delphi Automotive PLC reported unaudited consolidated earnings results for the fourth quarter and year ended December 31, 2014. For the quarter, the company reported net sales of $4,152 million against 4,182 million a year ago. Operating income was $486 million against $417 million a year ago. Income before income taxes and equity income was $453 million against $387 million a year ago. Net income attributable to the company was $344 million against $298 million a year ago. Diluted net income per share attributable to the company was $1.16 against $0.97 a year ago. Adjusted operating income was $520 million against $472 million a year ago. Adjusted net income attributable to the company was $391 million against $345 million a year ago. Adjusted net income per share was $1.32 against $1.12 a year ago. Net cash provided by operating activities was $873 million against $680 million a year ago. Capital expenditures were $189 million against $170 million a year ago. For the year, the company reported net sales of $17,023 million against $16,463 million a year ago. Operating income was $1,847 million against $1,684 million a year ago. Income before income taxes and equity income was $1,705 million against $1,523 million a year ago. Net income attributable to the company was $1,351 million against $1,212 million a year ago. Diluted net income per share attributable to the company was $4.48 against $3.89 a year ago. Adjusted operating income was $2,018 million against $1,844 million a year ago. Adjusted net income attributable to the company was $1,537 million against $1,371 million a year ago. Adjusted net income per share was $5.09 against $4.40 a year ago. Net cash provided by operating activities was $2,135 million against $1,750 million a year ago. Capital expenditures were $855 million against $682 million a year ago. For the first quarter of 2015, the company expects revenue to be in the range of $4,150 million - $4,250 million. Adjusted operating income is expected to be in the range of $470 million -$500 million. Adjusted operating income margin is expected to be in the range of 11.3%-11.8%. Adjusted earnings per share are expected to be in the range of $1.15-$1.30. For the full year of 2015, the company expects revenue to be in the range of $17,100 million- $17,500 million. Adjusted operating income is expected to be in the range of $2,100 million - $2,200 million. Adjusted operating income margin is expected to be in the range of 12.3%-12.6%. Adjusted earnings per share is expected to be in the range of $5.35-$5.65. Capital expenditures were expected to be $900 million.

Delphi Announces Board Changes

John A. Krol, chairman of the board of directors of Delphi Automotive PLC, will retire as chairman on March 1, and will be replaced by board member, Rajiv L. Gupta. Krol will remain on the board until Delphiâ s annual general shareholders meeting on April 23 and will not seek re-election. Also effective March 1, Gupta will join the board's nominating and governance committee as chairman and will step down as chairman of the compensation and human resources committee. Current board and committee member J. Randall MacDonald will succeed Gupta as chairman of the compensation and human resources committee. The board of directors also elected Kevin P. Clark to serve on the board, effective March 1, in conjunction with his previously announced appointment as Delphi president and chief executive officer. As previously disclosed, Rodney O'Neal, 61, will retire from the company and its board of directors on that date. Additionally on March 1, Timothy M. Manganello former chief executive officer of BorgWarner Inc, will join Delphi's board of directors.

Delphi Automotive PLC announced that its board of directors declared a quarterly cash dividend of $0.25 per ordinary share, payable on February 27, 2015, to shareholders of record at the close of business on February 18, 2015.
