Skadden Advises Hillshire on Pinnacle: Business of Law

Skadden Arps Slate Meagher & Flom LLP is advising Hillshire Brands Co. (HSH), the maker of Jimmy Dean meats, on its deal to buy Pinnacle Foods Inc. for about $4.3 billion, gaining products such as Birds Eye frozen foods, Duncan Hines baking mixes and Vlasic pickles. Simpson Thacher & Bartlett LLP is representing Pinnacle.

The Skadden team includes partners Rodd Schreiber and Michael Civale, M&A; Seth Jacobson, banking; and Gregg Noel, corporate. Advice was also provided by Skadden partners Clifford Aronson, antitrust and competition; Joseph Yaffe, executive compensation and benefits; Don Frost Jr., environmental and climate change; Bruce Goldner and Kenneth Plevan, intellectual property; and David Rievman, tax.

Simpson Thacher corporate partner Dan Clivner is leading the team, which includes partners Alden Millard, credit; Greg Grogan, executive compensation and employee benefits; Richard Fenyes, securities; Gary Mandel, tax; Lori Lesser, intellectual property; and Joe Tringali, antitrust.

Wilson Elser Hires Litigator Eads to Head New Michigan Office

John T. Eads III joined Wilson Elser Moskowitz Edelman & Dicker LLP as a partner and regional managing partner of its Michigan office, which opened April 17. He was previously a founding partner at Kopka Pinkus Dolin & Eads LLC

Hogan Lovells Adds Two Partners in San Francisco Bay Area

Hogan Lovells added two corporate partners to its San Francisco and Silicon Valley offices.

Nathaniel P. Gallon is joining the Silicon Valley office from Wilson Sonsini Goodrich & Rosati PC, and Veronica K. McGregor joins in San Francisco from Jones Day.

Gallon practices corporate and securities law with a focus on technology, working with everything from startups to large public companies.

McGregor’s practice focuses on payments, including virtual and crypto currencies and mobile payments.

Bird & Bird Adds Hong Kong Technology Partner From Herbert Smith

Bird & Bird LLP appointed Michelle Chan, who focuses on technology, media and telecom work, as a partner in its Hong Kong office. She was previously at Herbert Smith Freehills, where she headed the Asia TMT team.

Life Sciences Lawyer Puopolo Joins Goodwin Procter in Boston

Goodwin Procter LLP said Robert E. Puopolo has joined the firm’s life-sciences practice as a partner in the Boston office. He was previously at Greenberg Traurig LLP, where he was a shareholder and co-chairman of its emerging-technology group.
