Baxter to Acquire Fusion Medical


Baxter International Inc. (BAX) agrees to acquire Fusion Medical Technologies (FSON) for $10 per share, or $157 million in BAX stock. Fusion develops products used to control bleeding during surgery. (2/27)

Banknorth Group (BKNG) agrees to acquire Ipswich Bancshares (IPSW) for $41.1 million in cash and stock. Terms: $20.50 per share in either cash or BKNG stock. (2/27)

Mirant (MIR) agrees to sell Mirant State Line Ventures Inc., which includes a 515-megawatt coal-fired generation facility in Indiana, to energy producer Dominion (D) for $182 million. (2/27)

Private-investment firm W.L. Ross & Co. agreed to acquire the bankrupt steelmaker LTV Corp. for $125 million in cash for the steel assets, and also assume around $200 million in environmental and other liabilities. (2/27)

Key Production Company (KP) agrees to be acquired by Cimarex Energy Co., which will be a new publicly-traded company formed by a spin-off of Helmerich & Payne's (HP) oil & gas division. KP holders will get 1 Cimarex share per KP share. (2/25)

Centrica says it will acquire NewPower Holdings (NPW) for $1.05 per share in cash, or approximately $130 million (subject to adjustment). (2/23)

Identix Inc. (IDNX) and Visionics Corp. (VSNX) agreed to merge to create the world's leading multi-biometric security technology company in a stock deal valued at approximately $600 million. Terms: 1.3436 newly issued IDNX shares per VSNX share. (2/22)

Circuit City (CC) says it plans to spin off Carmax (KMX) into a separate public company called CarMax Inc. KMX holders will get one CarMax Inc. share per KMX share. (2/22)
