provisions of the Securities Exchange Act of 1934. Specifically, the complaint
alleges that defendants’ misrepresented and/or failed to disclose that
Thoratec’s HeartMate II Left Ventricular Assist Device had significant risk of
pump thrombosis, resulting in numerous fatalities. Due to the foregoing,

times. According to the complaint, Thoratec’s stock price dropped dramatically
after the true facts were revealed.
