CALGARY, Oct. 3, 2013 /CNW/ - Calfrac Well Services Ltd. ("Calfrac") (TSX-CFW) announced today that Calfrac Holdings LP ("Calfrac Holdings"), a Delaware limited partnership which is indirectly wholly owned by Calfrac, intends to offer, subject to market and other conditions, up to US$150 million aggregate principal amount of its 7.50% senior notes due 2020 in a private placement (the "notes"). The notes will be issued as additional notes under the indenture pursuant to which Calfrac Holdings previously issued US$450 million aggregate principal amount of its 7.50% senior notes due 2020 (the "existing notes"). This press release does not constitute an offer to sell or the solicitation of an offer to buy the notes, and there shall not be any sale of the notes in any state or other jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state or other jurisdiction.
