Thermo Fisher Announces Exercise of Over-Allotment Option in Common Stock
WALTHAM, Mass. -- June 11, 2013
Thermo Fisher Scientific Inc. (NYSE:TMO) (“Thermo Fisher” or the “company”)
today announced that the underwriters of its previously announced public
offering of common stock have exercised their option to purchase an additional
3,859,649 shares of its common stock at $85.50 per share.
Thermo Fisher previously entered into forward sale agreements with affiliates
of each of J.P. Morgan and Barclays, which affiliates are referred to as the
forward counterparties, with respect to the 25,730,994 shares initially
offered for sale and has entered into additional forward sale agreements with
respect to the 3,859,649 shares deliverable to the underwriters in connection
with the exercise of their over-allotment option. As a result, the forward
counterparties are expected to borrow from third parties and sell to the
public through the underwriters a total of 29,590,643 shares of common stock
in the offering.
J.P. Morgan and Barclays are acting as joint book-running managers and as
representatives of the underwriters for the offering. BofA Merrill Lynch is
acting as book-running manager for the offering.
Thermo Fisher intends to use any net proceeds it receives upon the future
settlement of the forward sale agreements entered into in connection with the
offering to fund a portion of its previously announced acquisition of Life
Technologies Corporation (“Life Technologies”). The offering, including with
respect to the over-allotment shares, is expected to close on or about June
12, 2013, subject to the satisfaction of customary closing conditions.
Thermo Fisher expects to settle the forward sale agreements at or around the
time of the closing of the Life Technologies acquisition, which is expected to
occur in early 2014, but in no event later than 14 months following June 6,
2013. Although Thermo Fisher expects to settle the forward sale agreements
entirely by physical delivery of shares of its common stock, it may, subject
to certain conditions, elect cash or net share settlement for all or a portion
of its obligations under the forward sale agreements.
