Hologic Announces Expiration of 6.25% Senior Notes Exchange Offer
BEDFORD, Mass., March 22, 2013
BEDFORD, Mass., March 22, 2013 /PRNewswire/ --Hologic, Inc. (Hologic or the
Company) (NASDAQ: HOLX), a leading developer, manufacturer and supplier of
premium diagnostics products, medical imaging systems and surgical products
dedicated to serving the healthcare needs of women, announced today the
expiration of its offer to exchange (the Exchange Offer) up to $1 billion
aggregate principal amount of its 6.25% Senior Notes due 2020 which have been
registered under the Securities Act of 1933, as amended (the Exchange Notes),
for up to $1 billion of the Company's outstanding 6.25% Senior Notes due 2020,
which were issued on August 1, 2012 in a private placement (the Old Notes).
The Exchange Notes have substantially identical terms to the Old Notes. The
Exchange Offer expired at 5:00 p.m. Eastern Time, on March 22, 2013.
Wells Fargo Bank, National Association, the exchange agent for the Exchange
Offer, has advised that Old Notes in the aggregate principal amount of
$994,130,000, representing 99.41% of the aggregate principal amount, were
validly tendered and not validly withdrawn prior to the expiration of the
Exchange Offer. The Company has accepted for exchange all of the validly
tendered Old Notes, and expects to issue the Exchange Notes on or about March
