Board of Directors of MakeMusic, Inc. ("MakeMusic" or the "Company") (Nasdaq-
MMUS-News) relating to the proposed acquisition by LaunchEquity Acquisition
Partners, LLC Designated Series Education Partners("LEAP"), an affiliate of

Under the terms of the transaction, MakeMusic shareholders will receive only
$4.85 in cash for each share of MakeMusic stock they own. The investigation

by the Board of Directors of MakeMusic for not acting in the Company's
shareholders' best interests in connection with the sale process. The
transaction may undervalue the Company and will result in a loss or no
