during the Class Period, in violation of federal securities laws.
On January 3, 2013, Family Dollar published a release disclosing
1Q:13 sales (the period ended 11/24/12) well below guidance.
According to the Company, sales had slowed and inventory had grown
well above plan. After reducing guidance, shares of Family Dollar
fell almost 13%, or $8.30 per share.

it was suffering from deficient internal controls and procedures;

operational condition.
