Shareholders (the "Annual Meeting") on May 2, 2013, in Toronto,
Ontario, Canada. The meeting will be held at 4:30 p.m. EST at The
Design Exchange, 234 Bay Street, Toronto-Dominion Centre, Toronto,
Ontario. The record date for determining the holders of the Company's
common stock entitled to vote at the Annual Meeting is March 8, 2013.
