St. James’s Place plc (“SJP”)

SJP announces the following changes in SJP shares held by the Persons
Discharging Managerial Responsibilities (PDMRs) named below.

Disposal of Shares

On 6 December 2012, PDMR Bill Tonks notified SJP that on 4 December 2012, he
sold 7,310 ordinary 15p shares in SJP at a price of 400.00 pence per ordinary
share. Mr Tonks also notified SJP that on 4 December 2012, a connected person
sold 7,310 ordinary 15p shares in SJP at a price of 403.30 pence per ordinary
share.

On 6 December 2012, PDMR Mike Blunt notified SJP that on 4 December 2012 he
sold 5,000 ordinary 15p shares in SJP at a price of 395.00 pence per ordinary
share. Mr Blunt also notified SJP that on 5 December 2012, a connected person
sold 5,000 ordinary 15p shares in SJP at a price of 399.00 pence per ordinary
share.

Following the above transactions, Mr Tonks’ and Mr Blunt’s holdings in SJP
shares are as set out below:

(i) The interests of the PDMRs include those of their Connected Persons as
defined in section 96B(2) of the Financial Services and Markets Act.

(ii) The interests of the PDMRs include deferred bonus scheme awards held in
trust for the PDMRs and not yet vested.

This notification is made in accordance with Disclosure and Transparency Rule
3.1.4R(1)(a).
