                COMPASS GROUP PLC: DIRECTOR/PDMR SHAREHOLDINGS

                                       

Compass Group  PLC (the  "Company")  announces the  following changes  in  the 
interests of  Directors  and  Persons  Discharging  Managerial  Responsibility 
("PDMR") in ordinary  shares of  10 pence  each in  the share  capital of  the 
Company ("Shares").

 

1.  Long-Term Incentive Plan Release

 

On 23 November 2012, the following  Directors and PDMRs requested the  release 
of vested awards  made on 1  December 2009 under  the Compass Group  Long-Term 
Incentive Plan ("LTIP") (which were  granted for nil consideration)  following 
satisfaction  of  both  the  Free  Cash  Flow  and  Total  Shareholder  Return 
performance conditions in  the three years  ended 30 September  2012, and  the 
following Shares were issued on 26 November 2012:

The Shares noted below  were sold on  27 November 2012  at 719.1425 pence  per 
Share in order  to realise  sufficient funds to  settle resultant  UK tax  and 
social security liabilities arising from such issue:

2.  Disposal of Shares

 

On 27 November 2012, Andrew  Martin sold his remaining resulting  shareholding 
of 101,112 Shares pursuant to his LTIP  release in 1. above at 719.1425  pence 
per share.  

 

On 26  November 2012,  Mr Martin  gifted  238,845 Shares  to his  spouse,  Mrs 
Jeanette Martin and Mrs Martin subsequently sold the same number of Shares  on 
27 November 2012 at 719.1425 pence per Share.

 

On 27 November 2012,  Gary Green sold  256,856 Shares at  a price of  719.1425 
pence per Share. 

 

 

3. Resultant Shareholdings

 

Following the transactions detailed above,  total interests in Shares for  the 
Directors and PDMRs noted above are as shown below:
