As previously announced, Henderson Equity Partners (GP) Limited and Henderson
Equity Partners Limited, subsidiaries of Henderson Group plc ('Henderson
Group'), and Henderson PFI Secondary Fund II L.P. ('Fund II'), were served
with legal proceedings by a majority of investors in Fund II in December 2011.
The proceedings principally allege breach of mandate and misrepresentation.
 
A Court hearing, held during the week of the 5^th of November, dealt with
preliminary matters and certain issues in relation to the allegations of
breach of mandate. Judgment has now been handed down and the Court has found
in favour of both Henderson Equity Partners (GP) Limited and Henderson Equity
Partners Limited in respect of all of the issues considered by the Court at
that hearing in relation to the allegations of breach of mandate.

Henderson Group does not know at this stage whether the investors in Fund II
will appeal the judgment.
