The following London & Stamford Directors have given irrevocable  undertakings 
in respect of their entire beneficial  holdings of Ordinary Shares to vote  in 
favour of the resolutions  to be proposed  at the London  & Stamford   General 
Meeting to the  extent that they  are permitted to  vote on such  resolutions, 
amounting  in   aggregate   to  40,212,932   Ordinary   Shares,   representing 
approximately 7.41 per cent. of  London & Stamford's existing issued  ordinary
