EUR 550,000,000 Class A Floating Rate Notes due 2025 (ISIN: XS0443764401) (the
"Notes").

                                                                                         

We hereby notify  you that  on 13  November 2012  the Issuer  entered into  an 
English Law  Amendment  Deed with,  inter  alios, Banco  Santander,  S.A.  and 
Deutsche Trustee  Company  Limited  which amended  the  Transaction  Documents 
relating to the Notes  to make an amendment of  a clarificatory nature to  the 
item  (iii)(b)  of  the  Pre-Enforcement  Principal  Paydown  Priorities   and 
consequential amendments with effect from 13 November 2012.

 

Terms not otherwise defined  herein shall have the  meanings given to them  in 
the Master Definitions Schedule set out in Schedule 1 to the Master  Framework 
Agreement entered into  4 August 2009,  as amended and  restated from time  to 
time, made between the Issuer and the Trustee.
