acquisition of the Company by Leucadia National Corporation ("Leucadia") in a

On November 12, 2012, it was announced that Jefferies and Leucadia entered
into a definitive agreement pursuant to which Leucadia will acquire
Jefferies. Under the terms of the transaction, Jefferies shareholders will
receive 0.81 of a Leucadia share for each of their shares, with a value of
approximately $17.66 per share. At least one analyst estimated the value of
Jefferies shares at $19.00 per share.
