investigating potential claims against the board of directors of DUSA

proposed acquisition of the Company by Sun Pharmaceutical Industries Ltd.

On November 8, 2012, it was announced that DUSA and Sun Pharmaceuticals have
entered into a definitive agreement pursuant to which Sun Pharmaceuticals will
acquire DUSA. Under the terms of the transaction, DUSA shareholders will
receive $8.00 in cash per share held. At least one analyst has set a target
price for DUSA stock of $9.50 per share.
