Notification  of  transactions  of  Directors/Persons  Discharging  Managerial 
Responsibilities

 

Wolseley plc (the "Company") announces the following changes in the  interests 
in the ordinary shares of  10 pence each in the  share capital of the  Company 
(the "Shares").

 

On 23  October 2012,  the following  Directors/Persons Discharging  Managerial 
Responsibility were  awarded  Shares following  the  vesting of  share  awards 
granted in October  2009 under the  Wolseley Long Term  Incentive Scheme  2002 
(the "Plan").  The  table below shows  the number of  Shares vested under  the 
Plan and transacted on 23 October 2012.

 

The Shares vesting under  the Plan were received  for nil consideration.   The 
average price for the disposal of Shares was £26.71.

 

Mr Jensen disposed of all the Shares that vested under the Plan at a price  of 
£26.71 per  Share  and acquired  the  same number  at  £26.77 per  Share.   In 
addition,  Mr Jensen sold 671 of his Shares that he already held at a price of
£26.72 per Share  and re-acquired  the same  number of  Shares at  a price  of 
£26.88 per  Share.  In  each  transaction, Mr  Jensen's Shares  were  acquired 
through a trust of  which he is a  beneficiary.  These transactions have  been
