On October 17, 2012, it was announced that Cymer and ASML have entered into a
definitive agreement pursuant to which ASML will acquire Cymer. Under the
terms of the transaction, Cymer shareholders will receive $20.00 in cash and
1.1502 shares of ASML per Cymer share owned, a value of approximately $79.00.
