AMEC plc notifies that  on 1 October  2012, 305 shares  held in Treasury  were 
transferred to share scheme participants.   Following this change, AMEC  plc's 
registered capital  now  consists of  317,587,449  ordinary shares,  of  which 
6,349,195 are registered as Treasury Shares, leaving a balance of  311,238,254 
shares with voting rights.

 

The figure of 311,238,254 may be  used by shareholders as the denominator  for 
the calculations by which they will  determine if they are required to  notify 
their interest in, or change  to their interest in,  AMEC plc under the  FSA's 
Disclosure and Transparency Rules.
