NOTICE IS  HEREBY GIVEN  by  Caravela SME  No. 1  Limited  that by  a  Written 
Resolution of the holders  of the entire outstanding  principal amount of  the 
Notes, dated  24  July  2012,  the Noteholders  have  duly  consented  to  the 
modification of Condition 6 (Final  Redemption, Mandatory Redemption in  part, 
Optional  Redemption  and  Approved   Redemption  in  whole),  Condition   7.4 
(Unmatured Receipts Void) and  Condition 7.5 (Unmatured  Coupons Void) of  the 
Notes. All consequential changes  have been effected by  the amendment to  the 
Trust Deed and  the Conditions,  as set out  in the  Supplemental Trust  Deed. 
Copies of the Supplemental Trust Deed  may be inspected on written request  at 
the offices of the  Issuer and the Paying  Agent during normal business  hours 
for so long as the Notes remain outstanding.
