          AMEC plc (the "Company") - Total Voting Rights and Capital

                                       

 

In accordance with Disclosure and  Transparency Rule 5.6.1, the Company  would 
like to notify the market of the following:

 

As at 31 May  2012, the Company's registered  capital consists of  328,932,842 
ordinary shares, of which 6,495,672 are registered as Treasury Shares, leaving
a balance of 322,437,170 shares with voting rights.

 

The figure of 322,437,170 may be  used by shareholders as the denominator  for 
the calculations by which they will  determine if they are required to  notify 
their interest in, or change  to their interest in,  AMEC plc under the  FSA's 
Disclosure and Transparency Rules.
