TESCO PLC - VOTING RIGHTS AND CAPITAL

As at 30 April 2012, Tesco PLC had issued 8,039,473,099 ordinary shares of 5p
each admitted to trading. Each ordinary share carries the right to one vote in
relation to all circumstances at general meetings of Tesco PLC. Tesco PLC does
not hold any ordinary shares in Treasury.

The above figure may be used by shareholders and others with notification
obligations as their denominator for the calculations by which they will
determine if they are required to notify their interest in, or a change to
their interest in, Tesco PLC under the FSA's Disclosure and Transparency
Rules.
