Busch Is Negotiating Consulting Deal With InBev After Merger

Aug. 16 (Bloomberg) -- August Busch IV, president and chief executive officer of Anheuser-Busch Cos., is negotiating a consulting contract that will pay him more than $10 million after the merger transaction with InBev NV is completed.

Busch also will be eligible for a $6 million bonus for 2008 and $88.6 million in equity awards, according to a filing yesterday with the U.S. Securities and Exchange Commission.

InBev, the maker of Beck's and Stella Artois, agreed to buy the Budweiser brewer for $52 billion last month in a deal that will make the Leuven, Belgium-based company the world's biggest beer seller. The transaction may be completed by the end of 2008.

Under the consulting agreement, Busch would receive a lump sum payment of $10.4 million, and, unless the contract is voided, a monthly fee of $120,000 through Dec. 31, 2013, the filing said.

Busch, at the request of InBev's chief executive officer, would advise on new products and business, review marketing programs, meet with retailers, wholesalers and advertisers, and attend media events, the filing said.

Busch, who will maintain an office in St. Louis, Missouri, would have an administrative staff and receive medical insurance as well as tickets to Anheuser-Busch events, the filing said. He also would have personal security services through Dec. 31, 2011.

Busch will also be eligible for about $13.3 million in a payment related to the change in control and other benefits to which he is entitled because of the merger, the filing said.
